General Terms and Conditions (GTC) of Schlegel Support GmbH

1. Scope of Application
These General Terms and Conditions (GTC) apply to all contracts, deliveries, and other services of Schlegel Support GmbH, Zihlstrasse 44, CH-5734 Reinach AG (hereinafter referred to as "Schlegel Support"), towards its clients. Deviating terms and conditions of the client are not recognized unless Schlegel Support expressly agrees to their validity in writing.

2. Subject Matter of the Contract
Schlegel Support offers services in the areas of exfiltration, security management, crisis management, as well as consulting and support services for companies and individuals. The exact services result from the respective contract.

3. Conclusion of Contract
A contract with Schlegel Support is concluded through written confirmation of an offer or by signing a contract. Oral side agreements require written confirmation to be effective.

4. Scope of Services
The scope of the services to be provided by Schlegel Support results from the respective contract. Changes and additions to the agreed scope of services require written agreement.

5. Prices and Payment Terms
All prices are in Swiss Francs (CHF) plus statutory VAT. Payments are due within 14 days of invoicing without deduction unless otherwise agreed. In the event of late payment, Schlegel Support is entitled to charge default interest at the statutory rate.

6. Liability
Schlegel Support is liable for damages only in cases of intent or gross negligence. In cases of simple negligence, Schlegel Support is only liable for the breach of essential contractual obligations (cardinal obligations), and liability is limited to the contract-typical, foreseeable damage. Liability for indirect or consequential damages is excluded.

7. Confidentiality
Both contracting parties undertake to treat all information obtained during the collaboration confidentially and not to disclose it to third parties. This obligation remains in effect even after the termination of the contractual relationship.

8. Force Majeure
Schlegel Support is not liable for the non-fulfillment of contractual obligations if this is due to events of force majeure. This includes, in particular, natural disasters, war, terrorist attacks, official orders, or other unforeseeable events.

9. Contract Duration and Termination
The contract duration results from the respective contract. Ordinary termination before the agreed contract duration expires is excluded. The right to extraordinary termination for good cause remains unaffected.

10. Data Protection
Schlegel Support collects, processes, and uses personal data exclusively within the framework of legal provisions. Further information on data protection can be found in the privacy policy.

11. Final Provisions
Should individual provisions of these GTC be wholly or partially invalid, the validity of the remaining provisions shall remain unaffected. Changes and additions to these GTC must be made in writing.

Swiss law applies. The place of jurisdiction for all disputes is the registered office of Schlegel Support GmbH.
